Mondi aims to acquire Nordenia

A major takeover looks likely among the packaging manufacturers: subject to the approval of the competition authorities, the Mondi Group, a globally active manufacturer of paper and packaging, will acquire Nordenia International AG. The takeover is expected to be completed by the fourth quarter of 2012.
On completion of the transaction, it is planned that the existing management team of Nordenia will run the combined Consumer Packaging Business Unit from its current headquarters in Greven, Germany. The companies in the Nordenia Group will then likewise become part of the Mondi Group’s holding. Mondi will buy 93.4 per cent of Nordenia from Oaktree Capital Management LP, the principal shareholders of Nordenia, for € 240 mio in cash and will take on € 398 mio of debt and liabilities, implying a value for the whole company of € 655 mio, Mondi said in a statement today. The cash payment will be funded from a new € 250 mio two-year bank facility.
